Terms of Use

Effective date: October 24, 2026

1. About these terms

spaceslot (the "Service") is an online platform for booking rooms and spaces, operated by Smart HR (the "Operator", "we", "us" or "our").

These Terms of Use govern your access to and use of the Service. By signing in to or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

These Terms govern your use of the platform. They do not replace any separate agreement between you and an Organization concerning room use, fees, working arrangements or other services.

2. Definitions

  • Organization - a business, clinic, studio, office or other entity that uses the Service to manage its rooms and spaces and invites you to join.
  • Administrators - people to whom an Organization has granted an Admin or Manager role to manage rooms, members, booking rules and approvals on its behalf.
  • User or you - any person who accesses or uses the Service, in any role.
  • Organization Data - information submitted to or generated through the Service in connection with an Organization, including member details, room information, bookings, hours and activity records.

3. Your account

  • Access is by invitation only. An Organization adds you as a member, and you sign in using a one-time code sent to your email address. No password is required.
  • You are responsible for keeping access to your email account secure. Do not share sign-in codes or invitation links with anyone. Notify your Organization or us promptly if you suspect unauthorized access to your account.
  • You agree to provide accurate information, such as your name and phone number, where requested, and to keep it reasonably up to date.
  • You must be at least 18 years old to use the Service.
  • You may use only the account and permissions assigned to you. You must not share an account or use another person's credentials or access rights.
  • Your access depends on your membership in an Organization and the permissions assigned to you. Your Organization may change those permissions or remove your membership in accordance with these Terms and its own arrangements with you.

4. Bookings and the Organization's rules

The Service lets you view room availability and request, change and cancel bookings. Each Organization determines its own rules, including opening hours, minimum and maximum booking length, advance booking and cancellation periods, approval requirements, hours allowances, fixed shifts and which rooms you can access.

  • The rooms are provided or made available by the Organization, not by us. Any agreement concerning use of the rooms, including price, payment, hours packages, cancellation fees and conduct on the premises, is between you and the Organization. The Operator is not a party to that agreement and does not provide, own or control the rooms solely by operating the Service.
  • A booking is in effect only when it appears as confirmed in the Service. A booking awaiting approval may be rejected by the Organization.
  • The Organization's Administrators may create, change, approve, reject and cancel bookings, adjust hours balances, and suspend or remove memberships within the permissions available to them. Questions or disputes concerning these decisions should ordinarily be directed to the Organization.
  • Hours balances and usage figures shown in the Service are tools for tracking and administration. They may be affected by data entry, configuration, technical errors or subsequent adjustments. If there is a disagreement, the Organization's records and the agreement between you and the Organization may be relevant, subject to applicable law and the circumstances of the dispute.
  • The Service is a booking and management tool. It does not independently guarantee that a room will be physically available, suitable for a particular purpose or accessible at a particular time.
  • You are responsible for checking your booking details and any applicable rules or instructions provided by the Organization. If a booking appears incorrect or unavailable, contact the Organization promptly.
  • The Operator does not mediate or decide disputes between Users and Organizations, although it may provide reasonable technical assistance where appropriate.

5. Additional responsibilities of Administrators

If you hold an Admin or Manager role in an Organization, you also agree to:

  • add only people the Organization is entitled to add, and enter only information about them that is accurate and needed to manage room bookings;
  • use information about members and bookings that you can access only to manage the Organization's rooms and bookings, and keep it confidential;
  • configure booking rules, visibility, notification and room-access settings in line with the Organization's policies and its arrangements with its members;
  • create, change or cancel bookings, adjust hours balances, and suspend or remove members only within your authority and in good faith;
  • promptly remove or adjust access for people who should no longer have it, including Administrators who have left the Organization.

As between the Operator and the Organization, the Organization is responsible for the actions of its Administrators in the Service and for informing its members about how their information is used, as described in the Privacy Policy.

6. Acceptable use

You agree not to:

  • access, or attempt to access, data, accounts or Organizations that you are not authorized to access;
  • interfere with the Service's operation or security, probe it for vulnerabilities without authorization, overload it, or bypass rate limits or access controls;
  • use automated scripts or bots to make bookings, scrape the Service or extract data, unless we have expressly agreed to this in writing;
  • impersonate another person or misrepresent your relationship with an Organization;
  • enter, upload or share content that is unlawful, offensive, infringes another person's rights or discloses another person's sensitive information;
  • use the Service in breach of applicable law;
  • copy, export, collect, disclose or otherwise use information obtained through the Service for an unauthorized purpose;
  • attempt to reverse engineer, disrupt, compromise or circumvent the Service's technical or organizational security measures, except to the extent such restriction is prohibited by applicable law.

In particular, do not enter patient names, medical information, treatment details or other sensitive personal information into booking titles, room names or descriptions, closure reasons or any other field. The Service is not intended to serve as a medical record or patient-management system.

You are responsible for ensuring that your use of the Service and the content you submit comply with applicable law and the rights of others.

7. Your content

You are responsible for the content you enter into the Service, including booking titles, profile details, room information, images and other materials.

You grant the Operator a limited, non-exclusive right to host, store, reproduce, process and display that content only to the extent reasonably necessary to provide, secure, maintain and support the Service, comply with applicable law and perform the relevant agreements. We do not claim ownership of your content.

You represent that you have the rights and permissions necessary to submit the content and authorize the processing described in these Terms. You must not submit content that infringes third-party rights or that you are not authorized to disclose.

Content uploaded by an Organization, such as its logo, room photographs and descriptions, remains subject to the rights of that Organization or its licensors.

We may remove or restrict access to content where reasonably necessary to address a legal requirement, a security risk, a suspected violation of these Terms or a credible third-party rights claim. Where appropriate and lawful, we may notify the relevant Organization or User.

8. Emails and other service notifications

The Service may send emails that are necessary for its operation, including invitations, sign-in codes, booking confirmations, approvals, rejections and cancellations, and, where the Organization has turned them on, reminders before a booking starts. Some notifications may include calendar attachments or other booking details.

Your Organization controls certain booking notification settings.

These messages are service communications, not marketing messages. We do not use these notifications to send advertising.

Delivery and timing may depend on email providers, spam filters, recipient settings, calendar applications and other systems outside our reasonable control. We do not guarantee that every message will be delivered, received, displayed or synchronized immediately. You should not rely solely on an email notification where timely confirmation is important.

9. Suspension and termination

Your Organization may suspend or remove your membership in accordance with its rules and its arrangements with you.

We may suspend, restrict or terminate your access, or an Organization's access, where reasonably necessary because:

  • we reasonably believe these Terms have been breached;
  • action is needed to protect the Service, its Users, Organization Data or other systems;
  • an Organization's subscription or authorization to use the Service has ended;
  • continued access may create a security, legal or operational risk; or
  • suspension or termination is required by law or a competent authority.

Where reasonably practicable and lawful, we will provide notice and an opportunity to address the issue before taking action, except where urgent action is needed to protect the Service, its Users or data, or where notice is not appropriate.

You may stop using the Service at any time. To request removal of your account or personal information, contact your Organization or the Operator. Account removal, deletion of information and retention of booking or audit records are subject to the Privacy Policy, applicable law and any legitimate retention requirements.

If an Organization's access ends, its Users may lose access to bookings and related information. The Organization is responsible for planning for continuity of its room-management operations and for requesting any available export of its data before termination.

10. Intellectual property

The Service, including its software, design, logo, branding and the "spaceslot" name, belongs to the Operator or its licensors and is protected by applicable intellectual property laws.

While your access is authorized, you receive a limited, non-exclusive, non-transferable and revocable right to use the Service for its intended purpose, subject to these Terms.

You may not copy, modify, distribute, reverse engineer, create derivative works from, sublicense or resell any part of the Service, except where expressly authorized by the Operator or where applicable law does not permit such restriction.

Nothing in this section transfers ownership of content submitted by a User or Organization to the Operator. Rights in third-party content remain with their respective owners.

11. Availability and changes to the Service

We use reasonable efforts to keep the Service available and accurate, but the Service is provided on an "as is" and "as available" basis to the maximum extent permitted by law.

We do not guarantee that the Service will be uninterrupted, error-free, available at all times or compatible with every device, browser, email provider or calendar application. We may carry out maintenance, update features, correct errors or change or discontinue features.

We will use reasonable efforts to avoid unnecessary disruption and, where practicable, provide advance notice of material planned maintenance. We do not guarantee that advance notice will always be possible.

The Service may depend on third-party infrastructure and service providers. We are not responsible for failures caused by third parties to the extent permitted by law, but this does not exclude any responsibility that applicable law imposes on the Operator for its own acts or omissions.

12. Limitation of liability

To the maximum extent permitted by applicable law, the Operator will not be liable for indirect, incidental, special, exemplary or consequential losses, or for loss of income, business opportunity, goodwill or data, arising out of or in connection with the use of, or inability to use, the Service.

This limitation includes, where legally permissible, losses arising from missed, double-booked, changed or cancelled bookings, inaccurate availability information, delayed notifications, Organization decisions, disputes between Users and Organizations, or the actions of other Users.

Nothing in these Terms excludes or limits liability for fraud, or any other liability that cannot lawfully be excluded or limited, and the Operator remains responsible for its own obligations under applicable law. Any limitation of liability applies only to the extent permitted by law and in light of the circumstances of the relevant claim.

13. Indemnity

To the extent permitted by applicable law, you agree to indemnify the Operator against reasonable losses, damages, liabilities and costs, including reasonable legal fees, arising from a third-party claim to the extent that the claim results directly from your material breach of these Terms, your unlawful use of the Service or content you submitted that infringes a third party's rights.

The Operator will, where reasonably practicable, notify you promptly of a relevant claim and give you a reasonable opportunity to assist with its defense. The Operator will not settle such a claim in a way that imposes an admission, payment obligation or other liability on you without your prior written consent. No indemnity applies to the extent a claim results from the Operator's own breach, negligence or unlawful conduct, as determined under applicable law.

14. Privacy and data protection

The processing of personal information is described in our Privacy Policy, which forms part of these Terms.

The Operator and each Organization are responsible for their respective processing activities in accordance with applicable law. An Organization may determine how membership and booking information is used within its operations, while the Operator may process information for service delivery, security, maintenance and other purposes described in the Privacy Policy.

You must not use the Service to collect, disclose or process personal information unlawfully or in a manner inconsistent with the Organization's authorized purposes or applicable law.

15. Changes to these Terms

We may update these Terms from time to time. The effective date at the top of the page indicates when they were last updated.

If a change is material, we will provide reasonable notice through the Service or by email, where practicable and appropriate.

Changes will take effect on the stated effective date or on another date specified in the notice. Where applicable law requires consent or another procedure for a particular change, we will follow that requirement. Continued use of the Service after the effective date may indicate acceptance where permitted by law; it does not replace consent where separate consent is legally required.

16. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles, subject to any mandatory legal provisions that apply notwithstanding this clause.

The competent courts in Tel Aviv-Jaffa shall have exclusive jurisdiction over disputes arising from these Terms or the use of the Service, to the extent permitted by applicable law.

17. General

  • These Terms, together with the Privacy Policy, are the entire agreement between you and the Operator regarding the Service. They do not affect any separate agreement between you and an Organization.
  • If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.
  • A failure or delay in enforcing any provision is not a waiver of it.
  • The Operator may assign or transfer these Terms in connection with a merger, acquisition or sale of the Service, provided your rights under them are not reduced. You may not assign them without our consent.
